eBook Licence

The eBook Licence (or EULA) is intended solely for publishers of written content for distribution on digital platforms. It allows embedding the font(s) into their digital documents for commercial release in popular “ePublication” formats such as PDF, AZW3, KFX, EPUB, MOBI, etc. If you’re releasing a book, magazine, educational content, scientific report, etc. for monetary gain, this is the licence you need. Note that this licence allows use of the font(s) for A SINGLE TITLE only.

PERMITTED NOT PERMITTED
Design and production of a single publication title with the sole purpose of displaying text within that document. Using the fonts for a first novel, Secret Agent, is permitted. For design consistency to use the same fonts in a second novel, Secret Agent: MIA, will require another eBook EULA purchase.
Embedding the fonts into the final publication. Releasing unsecured or editable documents. Every measure must be taken to protect the security of the fonts.
  Periodical releases, such as monthly magazines, require a custom licence from The Foundry.

The Nitty Gritty

By downloading and/or installing font software (“Font”) offered by Paulo Goode (“The Foundry”), you (“Licensee”) agree to be bound by the following terms and conditions of this End User Licensing Agreement (“EULA”):

1. Licence-specific Definitions
“eBook”: A single titled digital document covering all variants of electronic publications (books, brochures, reports, magazines, etc.), in all related formats (e.g., PDF, AZW3, KFX, EPUB, MOBI, etc.) that is made commercially available to the public to be viewed on e-Reader devices, tablets, smartphones, laptops, and desktop computers.

“Embedding”: Inclusion of the Font in the eBook in a manner that renders text but prevents extraction or independent use of the Font files.

“Single Title”: A single, one-off eBook that is made commercially available to the public. Versions of the same eBook title across multiple platforms (e.g., Kindle, iOS, Android, Mac, Windows, etc.) are considered a Single Title.

2. Right Granted
This eBook EULA applies to each individual Font offered by The Foundry whether a single font or multiple fonts were purchased from The Foundry website. The Licensee is prohibited from employing the Font for anything other than a Single Title.

Once full payment is received, The Foundry grants the Licensee a perpetual, worldwide, non-exclusive, and non-transferable licence to use the Font and any designs created with it. This grant is subject to full compliance with all terms of this EULA. Installation and use of the Font on both a personal desktop computer and one other portable device is allowed per authorised User involved with the design and layout of the licensed eBook.

This EULA covers embedding the Font in a Single Title only. Updates, revisions, or language variants of the same Single Title are included under this EULA. For additional titles, a separate eBook EULA must be purchased from The Foundry.

Embedding is permitted only in a secure format (e.g., subsetted, obfuscated, or encrypted) that prevents extraction, access, or use of the Font outside the eBook. The Licensee warrants that the eBook does not enable end users to extract, install, or otherwise access the Font files independently. For eBook formats, font obfuscation (e.g., using the IDPF algorithm) is recommended to comply with common reading system requirements.

Should the licensed usage of the Font at any point surpass the scope allowed under this current EULA, the Licensee agrees to promptly inform The Foundry and obtain the appropriate upgraded EULA.

The Licensee may make one backup copy of the Font solely for archival purposes.

3. Usage
The EULA covers installation and use by the production team members (authorised Users) required for the creation of the licensed Single Title eBook. Each authorised User may install and use the Font on up to two devices (e.g., one desktop computer and one portable device), provided both devices are owned by the User or the Licensee. All Users must belong to the same company or household purchasing the Font except for temporary use by third parties as described in Section 5 “Provision to Third Parties” of this EULA.

4. Limitations of Use
Use of the Font, as described below, IS NOT PERMITTED. An alternative EULA or custom licence may be purchased from The Foundry to suit your requirements.
a) Products. Apps/Software Products that allow end users to generate editable documents, customizable products, or output containing the Font (beyond fixed UI text), or where the Font is served dynamically from a server, require a custom licence.

b) Periodicals. Embedding the Font within digital publications for periodical release is prohibited. A custom licence is required for this purpose from The Foundry. Alternatively, a series of publications or multi-issue magazines would require separate purchases of this eBook EULA to be compliant (one licence per issue/title).

c) Websites. Uploading the Font to a website on the Internet or an Intranet to display “live” text is prohibited. The Webfont EULA is required for all such purposes where an internet-specific font format is provided (WOFF).

d) Digital Ads. Any digital advertising that uses the Font is prohibited. If your advertising requires the Font for advertising that appears on the Internet, Digital Billboards, or within Social Media Apps then you will require the Digital Ads EULA available via The Foundry website.

e) Screen & Broadcast. Any use of the Font that ultimately appears on screen in film, television programmes, advertising, on physical media discs, or via streaming services is prohibited. A Screen & Broadcast EULA is available through The Foundry website to cover such purposes.

f) Graphic Assets. Creating or distributing (for free or for payment) any derivative products based on the Font—including alphabet graphics, SVG/PNG glyphs, logo templates, mockups, website or motion graphics templates, or any asset allowing third-party text input—is prohibited. This also includes bundling the Font in any software or digital product for resale or redistribution. A custom licence is required for such uses.

5. Provision to Third Parties
Licensee may temporarily provide the Font to a graphic designer, agent or independent contractor who is working on behalf of the Licensee, ONLY IF the designer, agent or independent contractor (1) agrees in writing to use the Font exclusively for Licensee’s work, according to the terms of this EULA, and (2) retains no copies of the Font upon completion of the work. Licensee may not otherwise distribute the Font to third parties or make the Font publicly accessible except by embedding or linking in accordance with this EULA.

6. Term
This EULA grants a perpetual licence for the rights set forth in Paragraph 2 unless and until the EULA terminates under Paragraph 11. The Foundry will not charge additional fees after purchase, annually or otherwise.

7. Other Usage
If the Licensee is a design consultancy, advertising agency, or purchasing this EULA on behalf of a client or other organisation, the ultimate end user (e.g., the client) must purchase their own separate eBook EULA if they require access to or use of the Font. This EULA covers use by the Licensee’s temporary staff, freelancers, or contractors only for the completion of the licensed eBook and does not extend to their independent professional use.

EULAs for @font-face embedding, apps, software products, product creation websites, website template distribution, website templates, and other uses not allowed by this EULA are available at The Foundry website.

8. Image Creation
Permitted for static, non-editable images (e.g., JPEG, PNG, GIF, and SVG) created manually for fixed eBook assets. Automated text input or templating systems are prohibited.

9. Modifications
Licensee may import and alter the bezier outlines of the Font in a drawing program for
purposes of logo creation, titling, etc. The Licensee may authorise subsetting (reducing the number of glyphs) for Embedding efficiency if required. Licensee may not otherwise modify the Font or create derivative works based on the Font without prior written consent from
The Foundry.

10. Copyright
The Font is protected by copyright law. The Foundry is the sole, exclusive owner of all intellectual property rights, including rights under copyright and trademark law. Licensee agrees not to use the Font in any manner that infringes the intellectual property rights of The Foundry or violates the terms of this EULA. Licensee will be held legally responsible, for any infringements on The Foundry’s rights caused by failure to abide by the terms of this EULA.

11. Termination
This EULA is effective until terminated. If Licensee fails to comply with any term of this EULA, The Foundry may terminate the EULA with 30 (THIRTY) days notice. This EULA will terminate automatically 30 (THIRTY) days after the issuance of such notice. During the 30-day notice period, Licensee must cease all non-compliant use.

12. Disclaimer and Limitation of Liability
The Font and related documentation are provided “AS IS” and without warranty of any kind. The Foundry expressly disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. The Foundry does not warrant that the operation of the Font will be uninterrupted or error-free, or that the Font is without defects.

The Font is not fault-tolerant and is not intended for use in circumstances requiring fail-safe operation, such as manufacturing, navigation, or process control equipment, or where failure could lead to death, personal injury, property damage, or environmental harm.

Under no circumstances shall The Foundry be liable for any direct, indirect, special, consequential, or incidental damages (including lost profits, business interruption, or loss of business information) arising from the use or inability to use the Font, even if advised of such possibility. In no event shall The Foundry’s liability exceed the purchase price of the licence or replacement of the Font, at The Foundry’s discretion.

The Foundry will, at its sole discretion, replace the Font or refund the licensing fee if the Font does not perform substantially as documented, provided the claim is submitted within 30 (THIRTY) days of purchase with a sales receipt.

Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitations may not apply to you.

13. Governing Law
This EULA is governed by the laws of Ireland. Any disputes arising under this EULA shall be resolved in the courts of Cork, Ireland. This choice of law does not deprive the Licensee of protections under mandatory laws of their jurisdiction.

14. Good Will
A credit to The Foundry would be appreciated by the font designer for use of the font(s), if a credits and attributions section is applicable/allowed in the end product.
