Desktop Licence

The Desktop Licence (or EULA) is your “go-to” option if you want to use the font(s) for any graphic design work for both personal and commercial projects. Traditionally, this licence has been for anything that can be physically printed. You can also use the font(s) with a Desktop Licence to create graphics that will appear in/on digital media and platforms.

PERMITTED	NOT PERMITTED
Use the fonts in apps such as Illustrator, InDesign, After Effects, Premiere, Word, Canva, and Figma.	Uploading or embedding the fonts to/in Websites, Apps & Software, ePublications, Digital Ads, or appearances on/in Screen & Broadcast situations. All of these instances have their own licence types.
Create logos, branding, signage, merchandise, motion graphics, social media posts, designs and layouts for brochures, books, magazines, posters, packaging, stationery, etc.	Hosting fonts on Digital Asset Managements systems or shared servers of any kind making the fonts accessible to unlicenced users. Custom licensing is imperative for these requirements.
Install the fonts on two devices per authorised User (e.g., one desktop PC and one laptop).	Including fonts with any multi-file package (e.g., design mockups and templates) for personal or commercial use.

The Nitty Gritty

By downloading and/or installing font software (“Font”) offered by Paulo Goode (“The Foundry”), you (“Licensee”) agree to be bound by the following terms and conditions of this End User Licensing Agreement (“EULA”):

1. Right Granted
This Desktop EULA applies to each individual Font offered by The Foundry whether a single font or multiple fonts were purchased from The Foundry website. The Licensee is prohibited from employing the Font with a greater number of simultaneous Users than expressly authorised upon purchase (as detailed in Section 2).

Once full payment is received, The Foundry grants the Licensee a perpetual, worldwide, non-exclusive, and non-transferable licence to use the Font and any designs created with it. This grant is subject to full compliance with all terms of this EULA. Installation and use of the Font on both a personal desktop computer and one other portable device is allowed, but the device must be owned by either the Licensee or an authorised User, and the total number of concurrent instances of the Font in operation must not exceed the permitted limit at any time. Use of the Font across multiple geographic locations (e.g., by remote teams) requires a specialised multi-site licence if it exceeds the licensed User limits. Should the licensed usage of the Font at any point surpass the scope allowed under this current EULA, the Licensee agrees to promptly inform The Foundry and obtain the appropriate upgraded EULA.

The Licensee may make one backup copy of the Font solely for archival purposes.

2. Users
The number of authorised Users is determined by the tier selected at purchase: 1 User (default), 2-5 Users, 6 to 10 Users, 11 to 25 Users, 26 to 50 Users, and 51+ Users. Each authorised User may install and use the Font on up to two devices (e.g., one desktop computer and one portable device), provided both devices are owned by the User or the Licensee, and the total number of concurrent active uses does not exceed the licensed number of Users. All Users must belong to the same company or household purchasing the Font except for temporary use by third parties as described in Section 4 “Provision to Third Parties” of this EULA. The Licensee is bound to the agreement made upon purchase of the EULA as to the number of Users.

3. Limitations of Use
Use of the Font, as described below, IS NOT PERMITTED. An alternative EULA or custom licence may be purchased from The Foundry to suit your requirements.

a) Products. Licensee may not use the Font to create alphabet or letterform products for resale where the product consists of individual letterforms, including rubber stamps, die-cut products, stencil products, or adhesive sticker alphabet products where the likeness of the Font can be reproduced and the end-user of said products can create their own typesetting. Contact The Foundry directly to arrange a custom licence for this purpose.

However, Licensee may create typographic products using the Font if the product consists of commonly recognized words or phrases. For example: a rubber stamp that has the word “AUTHORISED” or a sticker that says “Hello there!”.

b) Electronic Devices. Embedding the Font for use on any electronic device such as gaming consoles, smartphones, e-readers, etc. is prohibited. Alternative EULAs (for App and eBook) are available through The Foundry website, however, in some cases a custom licence may still be required.

c) Software. Embedding the Font for use in any software for distribution and intended monetary gain is prohibited. An alternative EULA (for App) should cover most requirements and is available through The Foundry website, however, in some cases a custom licence may still be required.

d) Websites. Uploading the Font to a website on the Internet or an Intranet to display “live” text is prohibited. The Webfont EULA is required for all such purposes where an internet-specific font format is provided (WOFF). You may create images using the Font and then display these on websites, as described in Section 7 “Image Creation”.

e) Digital Ads. Any digital advertising that uses the Font is prohibited. If your advertising requires the Font for advertising that appears on the Internet, Digital Billboards, or within Social Media Apps then you will require the Digital Ads EULA available via The Foundry website.

f) Screen & Broadcast. Any use of the Font that ultimately appears on screen in film, television programmes, advertising, on physical media discs, or via streaming services is prohibited. A Screen & Broadcast EULA is available through The Foundry website to cover such purposes.

g) Graphic Assets. Creating or distributing (for free or for payment) any derivative products based on the Font—including alphabet graphics, SVG/PNG glyphs, logo templates, mockups, website or motion graphics templates, or any asset allowing third-party text input—is prohibited. This also includes bundling the Font in any software or digital product for resale or redistribution. A custom licence is required for such uses.

4. Provision to Third Parties
Licensee may temporarily provide the Font to a graphic designer, printer, agent or independent contractor who is working on behalf of the Licensee, ONLY IF the designer, printer, agent or independent contractor (1) agrees in writing to use the Font exclusively for Licensee’s work, according to the terms of this EULA, and (2) retains no copies of the Font upon completion of the work. Licensee may not otherwise distribute the Font to third parties or make the Font publicly accessible except by embedding or linking in accordance with this EULA.

5. Term
This EULA grants a perpetual licence for the rights set forth in Paragraph 1 unless and until the EULA terminates under Paragraph 10. The Foundry will not charge additional fees after purchase, annually or otherwise.

6. Other Usage
If the Licensee is a design consultancy, advertising agency, or purchasing this EULA on behalf of a client or other organisation, the ultimate end user (e.g., the client) must purchase their own separate Desktop EULA if they require access to or use of the Font. This EULA covers use by the Licensee’s temporary staff, freelancers, or contractors only for the single licensed campaign and does not extend to their independent professional use.

EULAs for @font-face embedding, computer applications and games, installable interactive books, software, mobile applications and games, eBooks and ePubs, product creation websites, website template distribution, website templates, and other uses not allowed by this EULA are available at The Foundry website.

7. Image Creation
Licensee is permitted to use the Font to make JPEG, PNG, SVG and GIF pixel-based images for use on the Internet provided that the images are made by an authorised User, and that no Embedding or other transmission of the Font is made possible.

8. Modifications
Licensee may import and alter the bezier outlines of the Font in a drawing program for purposes of logo creation, branding projects, etc. Licensee may not modify the Font or create derivative works based on the Font without prior written consent from The Foundry.

9. Copyright
The Font is protected by copyright law. The Foundry is the sole, exclusive owner of all intellectual property rights, including rights under copyright and trademark law. Licensee agrees not to use the Font in any manner that infringes the intellectual property rights of The Foundry or violates the terms of this EULA. Licensee will be held legally responsible, for any infringements on The Foundry’s rights caused by failure to abide by the terms of this EULA.

10. Termination
This EULA is effective until terminated. If Licensee fails to comply with any term of this EULA, The Foundry may terminate the EULA with 30 (THIRTY) days notice. This EULA will terminate automatically 30 (THIRTY) days after the issuance of such notice. During the 30-day notice period, Licensee must cease all non-compliant use.

11. Disclaimer and Limitation of Liability
The Font and related documentation are provided “AS IS” and without warranty of any kind. The Foundry expressly disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. The Foundry does not warrant that the operation of the Font will be uninterrupted or error-free, or that the Font is without defects.

The Font is not fault-tolerant and is not intended for use in circumstances requiring fail-safe operation, such as manufacturing, navigation, or process control equipment, or where failure could lead to death, personal injury, property damage, or environmental harm.

Under no circumstances shall The Foundry be liable for any direct, indirect, special, consequential, or incidental damages (including lost profits, business interruption, or loss of business information) arising from the use or inability to use the Font, even if advised of such possibility. In no event shall The Foundry’s liability exceed the purchase price of the licence or replacement of the Font, at The Foundry’s discretion.

The Foundry will, at its sole discretion, replace the Font or refund the licensing fee if the Font does not perform substantially as documented, provided the claim is submitted within 30 (THIRTY) days of purchase with a sales receipt.

Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitations may not apply to you.

12. Governing Law
This EULA is governed by the laws of Ireland. Any disputes arising under this EULA shall be resolved in the courts of Cork, Ireland. This choice of law does not deprive the Licensee of protections under mandatory laws of their jurisdiction.

13. Good Will
A credit to The Foundry would be appreciated by the font designer for use of the font(s), if a credits and attributions section is applicable/allowed in the end product.
